1. About Us

Moda Frictionless Solutions is the UK’s first dedicated agency focused entirely on delivering frictionless retail technology. From concept and design through to mobilisation, deployment, aftercare and service, we provide full turnkey solutions.

2. Use of Services

• You agree to use our website and Services only for lawful purposes.

• You may not misuse our Services, including attempting to interfere with system integrity, security, or availability.

• All content, designs, and materials provided by Moda remain our intellectual property and may not be copied, reproduced, or redistributed without our written permission.

3. Business Engagements

• All proposals, quotations, and agreements are subject to contract.

• Project delivery timelines, pricing, and responsibilities will be clearly set out in individual client contracts.

• Moda accepts no liability for delays or issues outside our reasonable control (e.g. third-party technology providers, supply chain disruption).

4. Payment Terms

• Unless otherwise agreed in writing, invoices are payable within 30 days of issue.

• Failure to make timely payment may result in suspension of Services and/or additional charges.

• Any revenue share or operational cost arrangements will be governed by separate commercial agreements.

5. Technology & Performance

• Our frictionless solutions are powered by third-party technologies (including Amazon Just Walk Out). While we integrate and support these, we cannot guarantee uninterrupted availability or absolute accuracy.

• Moda is not responsible for any direct or indirect losses arising from downtime, system errors, or misuse of technology.

6. Data & Privacy

• We may collect limited personal or business data in line with our [Privacy Policy].

• Client and end-user data will always be handled in compliance with UK GDPR and other applicable regulations.

• Moda does not sell or misuse personal data collected through our Services.

7. Liability

• To the fullest extent permitted by law, Moda Frictionless Solutions excludes all warranties, representations, or implied conditions regarding our Services.

• Our liability is limited to the fees paid for Services under the relevant agreement.

• We are not liable for indirect, incidental, or consequential damages, including loss of revenue or profit.

8. Intellectual Property

• All branding, designs, documentation, and technology created by Moda remain the property of Moda unless explicitly transferred in writing.

• Clients receive a licence to use the delivered solutions only for their intended operational purposes.

9. Termination

• We reserve the right to suspend or terminate Services if you breach these Terms.

• Either party may terminate a project engagement in accordance with the terms of the individual contract.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
